These Terms of Service (“Terms”) govern your access to and use of Toolcog’s services, including our website, APIs, and related software (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
The Service
Toolcog provides a platform that enables AI systems to discover and execute API operations on your behalf. The Service includes:
- API Discovery — Semantic search across indexed API operations
- API Execution — Authenticated API calls using credentials you provide
- Credential Storage — Encrypted storage of your API keys, OAuth tokens, and other credentials
- Catalog Management — Tools to organize and share API collections
The Service acts as a bridge between AI clients (such as Claude, ChatGPT, or Cursor) and third-party APIs. When you instruct an AI to perform an action, Toolcog facilitates that action by discovering relevant API operations, retrieving your stored credentials, and executing the appropriate API calls.
Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
You may not create accounts for others without their permission, create multiple accounts to circumvent restrictions, or transfer your account without our consent.
Your Credentials and Third-Party Services
Credential Storage
The Service allows you to store credentials for third-party services (API keys, OAuth tokens, passwords). These credentials are encrypted using keys derived from your authentication—we cannot decrypt them without your active session. You are responsible for:
- The accuracy and validity of credentials you provide
- Ensuring you have authorization to use those credentials
- Compliance with the terms of service of each third-party provider
- Revoking credentials if they become compromised
Third-Party Service Usage
When you connect third-party services to Toolcog:
- Your relationship is with the third party. We facilitate access but are not a party to your agreement with Stripe, GitHub, Google, or any other provider.
- Their terms apply. Your use of third-party APIs through our Service remains subject to those providers’ terms of service, rate limits, and usage policies.
- Actions are your responsibility. When AI executes an API call on your behalf, you are responsible for that action as if you had performed it directly.
- We don’t control third parties. We cannot guarantee the availability, accuracy, or security of third-party services.
AI-Initiated Actions
You understand that:
- AI systems may execute API operations based on your instructions
- These operations may have real-world consequences (creating records, initiating payments, modifying configurations)
- You should review AI-proposed actions before authorizing execution where appropriate
- Toolcog is not responsible for unintended consequences of AI-initiated actions
Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe intellectual property or other rights of any party
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to any system or data
- Interfere with the operation of the Service or other users’ access
- Circumvent rate limits, access controls, or security measures
- Store credentials you are not authorized to use
- Use the Service to attack, exploit, or abuse third-party systems
- Engage in any activity that could damage our reputation or relationships with third-party providers
We reserve the right to suspend or terminate accounts that violate these terms.
Intellectual Property
Our Property
The Service, including its software, design, documentation, and content (excluding your data), is owned by Tool Cognition Inc. and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features.
Your Data
You retain ownership of all data you submit to the Service, including API specifications you upload and credentials you store. You grant us a limited license to use this data solely to provide and improve the Service.
API Specifications
API specifications you upload remain your property. Specifications you mark as public may be indexed and made available to other users. You represent that you have the right to share any specifications you make public.
Privacy and Data Handling
Our collection and use of personal information is described in our Privacy Policy. Key points relevant to these Terms:
- We collect account information, usage data, and technical logs
- Encrypted credentials are stored but cannot be accessed by us
- We do not sell your personal information
- We may share data with service providers who assist in operating the Service
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable notice)
- Unscheduled maintenance to address security or stability issues
- Factors outside our control (network outages, third-party service failures)
We are not liable for any interruption or delay in access to the Service.
Fees and Payment
Pricing
Certain features of the Service may require payment. Current pricing is available on our website. We may change pricing with 30 days’ notice.
Billing
If you subscribe to a paid plan:
- Fees are billed in advance on a recurring basis
- You authorize us to charge your payment method automatically
- Fees are non-refundable except as required by law
- You are responsible for all taxes associated with your use of the Service
Organizations
If you use the Service on behalf of an organization:
- The organization is responsible for all fees incurred by its members
- The organization administrator controls billing and access
- Individual members may be converted to personal accounts if they leave the organization
Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- Any errors will be corrected
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TOOL COGNITION, INC. OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to or alteration of your data
- Damages resulting from third-party service failures or actions
- Damages resulting from AI-initiated actions, even if foreseeable
Our total liability for all claims related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred dollars ($100).
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.
Indemnification
You agree to indemnify and hold harmless Tool Cognition Inc. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third party’s rights
- Your violation of any applicable law
- Actions taken by AI systems using your credentials
Term and Termination
Term
These Terms are effective until terminated by either party.
Termination by You
You may terminate your account at any time through the Service or by contacting us. Upon termination:
- Your right to access the Service ends immediately
- Your encrypted credentials will be deleted
- Data associated with your account may be retained for a limited period for legal and operational purposes
Termination by Us
We may suspend or terminate your account if:
- You breach these Terms
- Your use poses a security risk to the Service or others
- Your account has been inactive for an extended period
- We are required to do so by law
- We discontinue the Service
We will provide reasonable notice before termination unless immediate action is necessary to protect the Service or comply with law.
Effect of Termination
Upon termination, all licenses granted to you under these Terms will cease. Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.
Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the “Last Updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
If you do not agree to modified Terms, you must stop using the Service and terminate your account.
General Provisions
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tool Cognition Inc. regarding the Service and supersede all prior agreements.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
